| Intended use | Single signed document for dealership evaluation access (pilot or trial). Defines scope, duration, participants, feedback, fees (if any), and conversion. Execute together with LEVRG MSA (msa-template.md or LEVRG_MSA.md) when paid or continuing commercial terms apply, or standalone for evaluation-only access as marked below. Replaces the former trial-agreement.md. |
This Pilot Agreement sets evaluation-specific obligations (duration, rooftops, feedback cadence, pilot fees, and success criteria). LEVRG’s Terms of Service and Privacy Policy continue to govern use of the LEVRG application by Authorized Users, including account creation and in-product conduct. LEVRG’s Master Service Agreement (MSA) governs the broader commercial relationship, intellectual property, limitations of liability, and indemnity framework when the Parties have executed it or incorporated it by reference in a signed MSA.
If there is a conflict: this Pilot Agreement controls pilot-only topics (pilot term, pilot fees, pilot success criteria, pilot cancellation) during the Pilot Period; the MSA controls enterprise commercial terms where it applies; the Terms of Service control in-product rules for users unless the MSA expressly states otherwise.
Where LEVRG and Customer execute a separate written Pilot Agreement, that agreement governs the evaluation period and controls over Terms of Service §4a in case of conflict.

☐ 90 days from Pilot Start Date
☐ Other: ________ days (specify)

LEVRG will provision access consistent with Customer’s plan and seat limits agreed in this Agreement or in the signed MSA.
Non-binding examples (edit as needed):
Stated pilot goals (free text):
During the Pilot Period, Customer agrees that managers and reps will enter desked deals and complete post-deal feedback in LEVRG in good faith, subject to the product’s workflow rules, so that pilot analytics are meaningful.
Customer keeps ownership of all sales data, deal records, and performance data created during the Pilot Period, subject to the Privacy Policy and MSA (when executed).
Customer acknowledges that LEVRG surfaces analytics to authorized Customer users (for example managers) based on data entered in the Service. Aggregated or de-identified use may be used by LEVRG as described in the Privacy Policy and MSA.
LEVRG will anonymize personally identifiable information within 30 days of a verified deletion request, subject to the Privacy Policy and any legal retention obligations.
8.1 In-product feedback. Reps and managers will use LEVRG’s standard feedback flows on the timeline Customer and LEVRG agree operationally (for example ensuring manager post-deal feedback is completed within 24–48 hours of delivery).
8.2 Qualitative feedback. Customer’s designated contact will complete LEVRG’s weekly qualitative feedback template (or equivalent agreed in email) during the Pilot Period.
8.3 Check-ins. Customer agrees to a weekly check-in call (or cadence initialed: ☐ weekly ☐ biweekly) with LEVRG during the Pilot Period.
☐ No pilot fee (evaluation access only)
☐ Pilot fee: USD $__________ (total or per month)
☐ Other: _______________________________________________
Invoicing and payment terms: see LEVRG Cancellation and Billing Terms or the signed MSA.
If Customer wishes to continue after the Pilot Period, the Parties will execute the LEVRG MSA (msa-template.md or equivalent) with commercial terms filled in (rooftops, rates, term). Pilot access does not obligate either Party to enter a paid subscription. Conversion pricing and term will be stated in the signed MSA.
Unless extended in writing, the pilot ends automatically at the end of the Pilot Period. Either Party may decline to renew or convert by notice as set in Section 1.3. Data handling after pilot end follows the Privacy Policy and MSA.
The Parties will protect each other’s Confidential Information as described in a mutual NDA if executed (see LEVRG NDA), or, if no NDA is executed, at minimum under the confidentiality terms of the MSA once in effect.
LEVRG does not guarantee any specific sales volume, gross profit, close rate, or revenue outcome. The pilot is to evaluate fit and workflow value. Customer is responsible for its own sales practices and compliance with law.
Customer is responsible for making sure its team uses LEVRG in a lawful and ethical way. LEVRG is not responsible for deal outcomes or business results beyond the express terms of this Agreement and the MSA (when executed).
15.1 Independent contractors. LEVRG may use independent contractor sales representatives—not employees—to conduct outreach and pilot discussions. Those representatives may not bind LEVRG except as expressly authorized in writing by LEVRG.
15.2 Written terms control. This Pilot Agreement, the MSA, and any other document executed or approved in writing by LEVRG are the sole binding statement of commercial terms between the Parties. Verbal statements, informal promises, or side agreements by LEVRG personnel or independent contractors do not modify this Agreement or create obligations for LEVRG unless confirmed in a written amendment signed by authorized representatives of both Parties.
15.3 Reporting. Customer may report concerns about LEVRG sales representative conduct or misrepresentations to support@levrg.ai. LEVRG will review good-faith reports in accordance with its policies.
This Agreement is governed by the laws of the State of Wisconsin, without regard to conflict-of-law rules.
IN WITNESS WHEREOF, the Parties have executed this Pilot Agreement as of the last date below.
